Standards Governing the Establishment of Commercial Banks Article 12
For the bank establishment, the founders shall fully pay up the amount of shares subscribed within two months after the establishment is approved and attach three copies of the following documents and submit to the competent authority for approval to publicly solicit the share subscription:1. application form for the establishment of public offering2. letter of the competent authority to approve the bank establishment3. business plan4. the list of founders5. the minutes of the founders’ meeting6. the name and the address of the bank collecting share capital and the evidence indicating that the founders have already paid up the share capital according to relevant laws7. description of founders’ fund source8. articles of public offering9. the public offering memorandum stipulated in Article 30 of the Securities and Exchange Act10. assessment opinions issued by the securities underwriter for the business plan11. the draft of the underwriting contract12. declaration that the application and the items stated herein are not false and concealed13. other documents required by the competent authorityThe bank is required to issue the public offering after publication within thirty days after the arrival of notice served by the competent authority with the addition of the file number and date of approval letter relating to the respective sub-paragraph of previous paragraph except sub-paragraph 7.For those who do not file the application to the competent authority according to Paragraph 1 or are not approved by the competent authority, the competent authority may revoke the permit. If, however, there is a legitimate reason, they may apply to the competent authority for one-month extension before the deadline stipulated in Paragraph 1 expires.

銀行之設立，發起人應自許可設立之日起二個月內繳足應認股款，檢附下列書件各三份，申請主管機關核准公開招募股份：
一、募集設立申請書。
二、主管機關核准銀行設立許可函。
三、營業計畫書。
四、發起人名冊。
五、發起人會議紀錄。
六、代收股款之銀行名稱、地址，及發起人已依規定繳足股款之證明。
七、發起人之資金來源說明。
八、招股章程。
九、證券交易法第三十條規定之公開說明書。
十、證券承銷商就營業計畫書所出具之評估意見書。
十一、承銷契約草本。
十二、本申請書暨附件所載事項無虛偽、隱匿之聲明。
十三、其他經主管機關規定提出之文件。
前項各款，除第七款外，應於主管機關通知到達之日起三十日內，加記核准文號及年、月、日，公告後招募之。
未依第一項規定向主管機關出申請，或未經主管機關核准者，主管機關得廢止其許可。
但有正當理由，在第一項期限屆滿前得申請主管機關延展一個月。
