The broker is bound to accurately to each party report the circumstances of the proposed transaction, so far as he knows them. He shall not act as intermediary for a person who is notoriously insolvent or whom he knows to have no capacity to enter into the proposed contract.A business broker has duty of investigation about the circumstances of the proposed transaction and the solvency or capacity of each party to enter into the proposed contract.

居間人關於訂約事項，應就其所知，據實報告於各當事人。
對於顯無履行能力之人，或知其無訂立該約能力之人，不得為其媒介。
以居間為營業者，關於訂約事項及當事人之履行能力或訂立該約之能力，有調查之義務。
對於顯無履行能力之人，或知其無訂立該約能力之人，不得為其媒介。
