Regulations for Administration of Tourist Hotel Enterprises Article 32
When the entire facilities and equipment of a tourist hotel are taken over by the surviving company or newly created company as a result of merger, the surviving company or new company shall submit the following documents and apply to the MOTC for approval:1. The shareholders’ meeting minutes and board of directors meeting minutes indicating the resolution on the merger or a letter of consent form the shareholders2. Proof of company merger registration and a duplicate of the merger agreement3. Proof of land and building ownership transfer registration4. The surviving company or new company’s business plan and financial planAfter the application described in the preceding paragraph is approved, the surviving company or new company shall complete company change registration according to law within two months and also submit the following documents to apply to the MOTC for a new tourist hotel license.1. The Tourist Hotel License Application2. The original tourist hotel license issued3. The corporate charter of the surviving company or new company, a photocopy of the company registration and a list of directors and supervisorsWhen there are justifiable reasons, the surviving company or new company may apply for a two-month extension of the period specified in the preceding paragraph and such application may be filed once only. .

觀光旅館業因公司合併，其觀光旅館之全部建築物及設備由存續公司或新設公司依法概括承受者，應由存續公司或新設公司備具下列文件，申請交通部核准：
一、股東會及董事會決議合併之議事錄或股東同意書。
二、公司合併登記之證明及合併契約書副本。
三、土地及建築物所有權變更登記之證明文件。
四、存續公司或新設公司之營業計畫書及財務計畫書。
前項申請案件經核准後，存續公司或新設公司應於二個月內依法辦妥公司變更登記，並備具下列文件，向交通部申請換發觀光旅館業營業執照：
一、觀光旅館業營業執照申請書。
二、原領觀光旅館業營業執照。
三、存續公司或新設公司之公司章程、公司登記證明文件影本、董事及監察人名冊。
前項所定期限，如有正當事由，其存續公司或新設公司得申請展延二個月，並以一次為限。
