If the chairperson asks for leave or is unable to exercise the power and authority for any reason or in accordance with laws, the chairperson shall designate one of the managing directors to act as the proxy；if the chairperson fails to designate or is unable to appoint a proxy, such proxy shall be elected by the directors from among themselves.
