Civil Code Article 670

The resolutions of the partnership ought to be made by the unanimous consent of all the partners.The resolutions of the preceding paragraph when are agreed upon by all the partners or some of the members, should be followed by the agreement, except the affairs of partnership contract or the change of business entity shall be agreed by the numbers more than two thirds of the partners.

合夥之決議，應以合夥人全體之同意為之。
前項決議，合夥契約約定得由合夥人全體或一部之過半數決定者，從其約定。
但關於合夥契約或其事業種類之變更，非經合夥人全體三分之二以上之同意，不得為之。
