Private School Act Article 26
If the chairperson, a board member or supervisor vacates their position during their term of office, the board shall elect and appoint a new board member or supervisor through a by-election or elect a new chairperson within one month after the vacancy occurs.If the board members are unable or neglect to exercise their powers and so fail to complete the by-election or election as prescribed in the preceding paragraph by the date set by the competent authority of legal persons, the authority shall petition the court for the appointment of provisional board members to assume the powers after consulting the school’s consultative committee, or it shall appoint provisional supervisors to assume the powers of the said members after consulting the committee.

董事長、董事、監察人於任期中出缺時，董事會應於出缺後一個月內，補選聘董事、監察人或推選董事長。
董事不能或怠於行使職權，致未能依前項規定完成補選或推選，經法人主管機關通知限期補選董事、監察人或推選董事長，屆期仍未依規定完成補選或推選，法人主管機關應徵詢私立學校諮詢會意見後，聲請法院選任臨時董事代行其職權；或由法人主管機關徵詢私立學校諮詢會意見後選任臨時監察人，代行其職權。
