Cooperatives Act Article 34
Directors shall implement tasks according to the provisions of this Act and the cooperative bylaw as well as resolutions of the general meeting of members, and shall elect one or several of them to represent the cooperative toward the outside.Where a director infringes the provision of the above paragraph, thus resulting in damage to the cooperative, the director shall be liable to compensate the cooperative.
