Financial Asset Securitization Act Article 89
The SPC shall not guarantee or endorse any person, and Article 16 of the Company Act shall not apply.When the responsible person(s) of the SPC violates the restrictions prescribed in the preceding paragraph, such person shall be held liable for any such guarantee and endorsement and to compensate the company or the Asset-Backed Security holders for the damages sustained therefrom.

特殊目的公司不得為任何人保證或背書，不適用公司法第十六條之規定。
公司負責人違反前項規定時，應自負保證及背書責任，如公司或資產基礎證券持有人受有損害時，亦應負賠償責任。
