Regulations Governing the Scope of Material Information and the Means of its Public Disclosure Under Article 157-1, Paragraphs 5 and 6 of the Securities and Exchange Act Article 3
The reference in Article 157-1, paragraph 5, of the Act to information relating to the market supply and demand of such securities that would have a material impact on its stock price or on the investment decisions of a reasonably prudent investor means any of the following:1. The company's securities traded on the centralized securities exchange market or the OTC securities market are subject to a public tender offer or suspension of a public tender offer.2. Any material change in the shareholding of the company or its controlling company.3. The company's securities traded on the centralized securities exchange market or the OTC securities market are subject to an event of bidding, auctioning, material default in settlement, change of the original method of trading, or suspension, limitation, or termination of trading, or there is any circumstance that may lead to any such event.4. Persons duly charged with exercising searches under the law conduct a search of the company, its controlling company, or any of its major subsidiaries as defined in Article 2-1, paragraph 2 of the Regulations Governing Auditing and Attestation of Financial Statements by Certified Public Accountants.5. Any other matter relating to the market supply and demand of such securities that would have a material impact on the company's stock price or on the investment decisions of a reasonably prudent investor.

本法第一百五十七條之一第五項所稱涉及該證券之市場供求，對其股票價格有重大影響，或對正當投資人之投資決定有重要影響之消息，指下列消息之一：
一、證券集中交易市場或證券商營業處所買賣之有價證券有被進行或停止公開收購者。
二、公司或其控制公司股權有重大異動者。
三、在證券集中交易市場或證券商營業處所買賣之有價證券有標購、拍賣、重大違約交割、變更原有交易方法、停止買賣、限制買賣或終止買賣之情事或事由者。
四、依法執行搜索之人員至公司、其控制公司或其符合會計師查核簽證財務報表規則第二條之一第二項所定重要子公司執行搜索者。
五、其他涉及該證券之市場供求，對公司股票價格有重大影響，或對正當投資人之投資決定有重要影響者。
