The total shares of registered stock held by all of the directors and all of the supervisors of any company that publicly offers and issues securities under this Act shall each respectively be not less than a certain percentage of its total issued shares.The regulations governing the director and supervisor shareholding percentages referred to in the preceding paragraph and for the auditing thereof shall be prescribed by order of the Competent Authority.

凡依本法公開募集及發行有價證券之公司，其全體董事及監察人二者所持有記名股票之股份總額，各不得少於公司已發行股份總額一定之成數。
