Regulations Governing Offshore Funds Article 53
Subscribers and purchasers of privately place offshore funds may not resell such funds except in one of the following circumstances:1. by redemption by the offshore fund institution;2. by transfer to a person/entity qualified under paragraph 1 of the preceding article;3. by transfer by operation of law;4. as otherwise approved by the FSC.The restrictions on transfer as set out in the preceding paragraph shall be printed in conspicuous type on the certificate and stated in relevant written documents delivered to the subscriber or purchaser.

私募基金之應募人及購買人除有下列情形之一者外，不得再行賣出：
一、向境外基金機構申請買回。
二、轉讓予符合前條第一項資格之人。
三、基於法律規定所生效力之移轉。
四、其他經本會核准。
前項有關私募基金轉讓之限制，應於憑證上以明顯文字註記，並於交付應募人或購買人之相關書面文件載明。
