Regulations Governing Information to be Published in Public Tender Offer Prospectuses Article 6
The public tender offer conditions shall include the following items:1. Period of public tender offer.2. Maximum and minimum projections for the volume of shares to be purchased through public tender offer.3. The public tender offer consideration.4. Whether the current public tender offer involves any matter that requires the approval of the Financial Supervisory Commission or other competent authority or that requires an effective registration, and whether such approval has already been obtained or registration has already become effective.5. After the public tender offer conditions as filed by the offeror have been satisfied and an announcement to that effect has been made, a tenderer is not allowed to cancel its tender, except under a circumstance set forth in Article 19, paragraph 6 of the Regulations Governing Public Tender Offers for Securities of Public Companies.

公開收購條件應記載下列事項：
一、公開收購期間。
二、預定公開收購之最高及最低數量。
三、公開收購對價。
四、本次公開收購有無涉及須經本會或其他主管機關核准或申報生效之事項，及是否取得核准或已生效。
五、公開收購人於本次公開收購條件成就並公告後，除有公開收購公開發行公司有價證券管理辦法第十九條第六項規定之情形外，應賣人不得撤銷其應賣。
