Regulations for Administration of Tourist Hotel Enterprises Article 11
The preparation approval of any tourist hotel dissolving the company or having its company registration revoked during the preparation process shall lose its validity.A tourist hotel intending to assign the hotel to another during the preparation process shall submit the following documents to apply to the MOTC for approval:1. Ownership assignment application2. Duplicates of related agreements3. The assigner’s shareholders’ meeting minutes or letter of consent4. The assignee’s business plan and financial planIf a tourist hotel takes part in a business merger during the preparation process, the surviving company or the new company shall submit the following documents to the MOTC for reference:1. The shareholders’ meeting and board of directors meeting minutes indicating the resolution on the merger2. Proof of company merger registration and a duplicate of the merger agreement3. Proof of land and building ownership transfers4. The business plan and financial plan of the surviving company or new company

申請經營觀光旅館業者於籌設中經解散或廢止公司登記，其籌設核准失其效力。
申請經營觀光旅館業於籌設中轉讓他人者，應備具下列文件，報請交通部核准：
一、轉讓申請書。
二、有關契約書副本。
三、轉讓人之股東會議事錄或股東同意書。
四、受讓人之營業計畫書及財務計畫書。
申請經營觀光旅館業者於籌設中因公司合併，應由存續公司或新設公司備具下列文件，報交通部備查：
一、股東會及董事會決議合併之議事錄。
二、公司合併登記之證明文件及合併契約書副本。
三、土地及建築物所有權變更登記之證明文件。
四、存續公司或新設公司之營業計畫及財務計畫書。
申請經營觀光旅館業於籌設中轉讓他人者，應備具下列文件，報請交通部核准：
一、轉讓申請書。
二、有關契約書副本。
三、轉讓人之股東會議事錄或股東同意書。
四、受讓人之營業計畫書及財務計畫書。
申請經營觀光旅館業者於籌設中因公司合併，應由存續公司或新設公司備具下列文件，報交通部備查：
