Limited Partnership Act Article 34
Unless otherwise provided by Paragraph 1 of the preceding Article or by the limited partnership agreement, a partner may withdraw from the partnership for any significant reason for which he or she is not responsible, subject to the consent of the majority of the remaining partners.A general partner shall be liable for the liabilities of the limited partnership incurred prior to his or her withdrawal from the partnership.
