Company Act Article 232
I. A company shall not pay dividends or bonuses, unless its losses shall have been covered and a legal reserve shall have been set aside in accordance with the provisions of this Act.II. A company shall not pay dividends or bonuses, if there is no surplus earnings.III. The responsible person(s) of a company who violates the provisions of the preceding two Paragraphs by making distribution of dividends and bonuses shall (each) be punished with imprisonment of not more than one year, detention, and a fine in lieu thereof or in addition thereto in an amount of not more than NT$ 60,000.

公司非彌補虧損及依本法規定提出法定盈餘公積後，不得分派股息及紅利。
公司無盈餘時，不得分派股息及紅利。
公司負責人違反第一項或前項規定分派股息及紅利時，各處一年以下有期徒刑、拘役或科或併科新臺幣六萬元以下罰金。
