Civil Code Article 708

In addition to the provisions of Article 686 by which a sleeping partner is entitled to declare his withdrawal, a sleeping partnership is terminated in any of the following cases;(1) Expiration of the agreed time;(2) Consent of the parties;(3) Accomplishment of the enterprise or impossibility of accomplishing;(4) Death or subject to the order of the commencement of guardianship of the active partner;(5) Bankruptcy of the sleeping or active partner;(6) Cessation or transfer of enterprise.

除依第六百八十六條之規定得聲明退夥外，隱名合夥契約，因下列事項之一而終止：
一、存續期限屆滿者。
二、當事人同意者。
三、目的事業已完成或不能完成者。
四、出名營業人死亡或受監護之宣告者。
五、出名營業人或隱名合夥人受破產之宣告者。
六、營業之廢止或轉讓者。
