A partner is not entitled to demand the partition of the assets, until the liquidation of the partnership takes place.A debtor of the partnership who has a claim against one of the partners shall not offset it against a claim of the partnership against him.

合夥人於合夥清算前，不得請求合夥財產之分析。
對於合夥負有債務者，不得以其對於任何合夥人之債權與其所負之債務抵銷。
