When one or several partners in the partnership, by agreement or by resolutions manage the affairs of the partnership, they shall not resign or be removed by the other partners except for a good cause.Removal of a managing partner, as specified in the preceding paragraph, may take place only by the unanimous consent of all the other partners.

合夥人中之一人或數人，依約定或決議執行合夥事務者，非有正當事由不得辭任。
前項執行合夥事務之合夥人，非經其他合夥人全體之同意，不得將其解任。
