If the calling procedure or the method of a resolution of a general meeting of members violates the act, regulations, or the bylaw of the corporation, any member may apply to the court to revoke the resolution within three months after the resolution, except the member who was present and did not make objection against the calling procedure or the method of the resolution at the meeting.The content of the resolution passed by the general meeting of members which violates the act, regulations, or the bylaw of the corporation shall be void.

總會之召集程序或決議方法，違反法令或章程時，社員得於決議後三個月內請求法院撤銷其決議。
但出席社員，對召集程序或決議方法，未當場表示異議者，不在此限。
總會決議之內容違反法令或章程者，無效。
