Civil Code Article 554

As regard to third parties, a manager is deemed to have a power to do whatever is necessary for the management of the firm, or branch, or line of business authorized to him.However, the manager shall not sell or buy or create a right in rem over real property, unless he has been authorized in written form.The limitation with regard to the buying or selling real property specified in the preceding paragraph shall not apply to a manager of a firm which is on business of buying or selling real property.

經理人對於第三人之關係，就商號或其分號，或其事務之一部，視為其有為管理上之一切必要行為之權。
經理人，除有書面之授權外，對於不動產，不得買賣，或設定負擔。
前項關於不動產買賣之限制，於以買賣不動產為營業之商號經理人，不適用之。
