Civil Code Article 311

An obligation may be performed by a third party unless otherwise agreed by the parties or accorded with the nature of the obligation.If the debtor objects to the obligation being performed by a third party, the creditor may refuse such performance; but if the third party has the interest of conflicts on the performance of the obligation, the creditor shall not refuse.

債之清償，得由第三人為之。
但當事人另有訂定或依債之性質不得由第三人清償者，不在此限。
第三人之清償，債務人有異議時，債權人得拒絕其清償。
但第三人就債之履行有利害關係者，債權人不得拒絕。
