Regulations Regarding the Establishment of and Special Recognition for Private Social Education Institutions Article 12
A private social education institution that is a foundation shall set up a board of directors with between seven and fifteen directors and its chairperson shall be nominated and selected by the directors.Directors are appointed for a term of four years; a director who is re-elected may continue to be a director for another term.The directors and the chairperson all serve without receiving remuneration.When the position of a director or the chairperson falls vacant, the board of directors shall hold a by-election within one month; the person selected will only fill the vacant post until the end of the current term. The board of directors shall submit a report and related documents to the competent municipal, county, or city authority within 30 days after the by-election, and the newly elected director or chairperson may begin exercising their official duties after the competent authority ratifies their appointment.

財團法人私立社會教育機構董事會應置董事五人至十七人，並置董事長一人，由董事推選之。
董事每屆任期四年，連選得連任。
董事及董事長均為無給職。
董事及董事長在任期中出缺時，董事會應於出缺後一個月內補選之，並以補足其任期為限。
董事會應於補選後三十日內，檢具相關文件報直轄市、縣（市）主管機關核定後，始得行使職權。
